This FSA governs Free Stuff. This FSA is incorporated into the General Vendor Terms (or similar agreement governing the Services) entered into between us and Vendor (“Vendor Terms”). Any capitalized term used but not defined herein has the meaning given to it in the General Vendor Terms.  We may update this FSA to reflect changes to the law, the Site, or our business. Your continued use of the Free Stuff and our services following our updates constitutes your acceptance of any changes. If you do not agree with this FSA or any changes made to this FSA, do not use Free Stuff. **1\. Usage Limits.** We may, in our sole discretion, impose usage limits on Free Stuff at any time, discontinue Free Stuff, or require Vendor to purchase a subscription to continue using the Services. **2\. Vendor Content.** Vendor retains all rights, title and interest to Vendor Content. Vendor grants us a non-exclusive, worldwide, royalty-free license to host, copy, distribute, display, and otherwise use Vendor Content to provide Free Stuff and Services. Any Vendor Content used in connection with Free Stuff, including customizations, may be permanently lost unless Vendor purchases a subscription for the same Service or exports the Vendor Content (which Vendor is solely responsible for). Vendor may not transfer Vendor Content to a lower-tier version of the Service. While the Vendor is not required to provide feedback, any provided feedback grants us a non-exclusive, perpetual, worldwide, royalty-free, transferable, and irrevocable license to use, modify and incorporate the feedback into our Services without restriction. **3\. LIABILITY DISCLAIMER.** FREE STUFF IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES AND CONDITIONS WHETHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. WE WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR ACCESS TO OR USE OF FREE STUFF. THIS INCLUDES ANY ISSUES RELATED TO DELAY OR INABILITY TO ACCESS OR USE THIS SITE (INCLUDING, BUT NOT LIMITED TO, YOUR RELIANCE UPON OPINIONS APPEARING ON THIS SITE; ANY COMPUTER VIRUSES, INFORMATION, CONTENT, SUBMISSIONS, SOFTWARE, LINKED SITES, PRODUCTS, OR SERVICES OBTAINED OR ACCESSED THROUGH THIS SITE; OR OTHERWISE ARISING OUT OF THE ACCESS TO, DISPLAY ON, OR USE OF THIS SITE) WHETHER BASED ON A THEORY OF NEGLIGENCE, CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  The limitation of liability reflects the risk allocation between the parties. The limitations specified in this section will survive and apply even if any limited remedy specified in this FSA is found to have failed of its essential purpose. The limitations of liability provided in this FSA inure to the benefit of us.  **4\. Indemnification.** If a third party sues or brings a claim against us (“Vendor Indemnity Claim”), then Vendor will defend, indemnify, and hold us harmless from any fees, attorney’s fees, fines, costs, liens, judgments or expenses awarded against or incurred by us as a result of any such Vendor Indemnity Claim. We reserve the right, at Vendor’s expense, to assume the exclusive defense and control of any matter for which Vendor is required to indemnify us and Vendor agrees to cooperate with our defense of these claims. Vendor agrees not to settle any such matter without our prior written consent.  **5\. Interpretation and Updates.** We may update this FSA periodically without notice.  Additional terms and conditions may apply to specific Free Stuff offerings, and such terms are incorporated into this FSA.  In the event of a conflict between this FSA and the Vendor Terms any other terms between Vendor and us, this FSA will control with respect to Free Stuff.  **6\. Term.** This FSA is effective as of the date Vendor first receives Free Stuff and will continue for so long as Vendor receives Free Stuff, unless earlier terminated by us at any time in our sole discretion, with or without notice.
