The core functionality is there, and it can support a complex diligence process once everything is configured. Cost is an issue and it will need to be better value for money, even if that means investing time in transitioning away from this tool. Pros The platform is stable once data is uploaded, and I didnt experience outages or hanging of web pages when large documents are opened. The permission controls are granular enough to segregate internal, external, and advisor access without involving IT. Bulk upload works reasonably well for large folders, and document indexing is accurate and easy enough to find what is needed via basic search. Email notifications for new document uploads is nice and i really like the Q&A feature as well as it helped keep external counterparties on track during the busier stages of the process. Cons The learning curve is steeper than it should be, even for users who are familiar with other virtual data rooms, and i needed a walk through with IT before i was comfortable. The user interface feels a little dated and unintuitive, with too many clicks required to perform simple actions like moving folders, updating permissions, or answering Q&A in bulk. From a cost perspective, the pricing structure is relatively high in this digital age.
