Mergers and Acquisitions Manager Paper & Forest Products Used the software for: 2+ years ### "Opportunities to improve" December 17, 2024 2.0 I don't like to use, and always recommend some other tool if just possible Pros It is cheap (but even that is not enough to considered to be a decent choice) Cons Functionality and usability; it is not very user friendly either on the buy-side or the sell-side. 1. Translation tool is terrible (GER-ENG) - translating that our documents would include sentences like "I want to kill you". This is definitely not what is written in the original document, and this is definitely not something you want to have in a DD process. 2. Q&A tool is awkward, unsmooth and has poor visibility - very challenging to follow which of the questions are answered, which is not and should be shared to new people, which are coming back from your internal team and which from external teams. Question numbering is odd. Search-tool does not find questions even if searching with the headline / key words. You cannot see the previous answer of a question, but after answering it just disappears. You cannot double check your answer nor an you copy paste it easily to another bidder. Tool is showing an old a question an right-hand side even though is does not match with the question selected left-hand side..very confusing and drains your focus unnecessary things. 3. As a buyer, reviewing documents is challenging. You cannot 'handle' to the document normally and so reading through documents becomes burdensome. This is frustrating to both sides as buy-side is asking questions that are included in the docs, but did not find it there due to poor, slow and awkward handling of the document. Drooms proposed me to set up a call to discuss all my questions and I learned a lot about all the possibilities Drooms offer, it was very useful and Drooms' team is great with people and reactive. Cons Modifying the index numbers of different documents in the same folder is time consuming but I might not have the proper technique to do it.
